Terms of Service
1. What Rebaar is
Rebaar is a multi-tenant SaaS ERP for construction firms — a single online workspace where you run projects, issue invoices, manage vendors, track payroll, and store related documents. Your workspace is isolated from every other customer's workspace at the database level.
2. Your account
You must be at least 18 years old and authorised to act on behalf of your business to create an account. You're responsible for keeping your password (and two-factor authenticator) safe — anyone who knows them can sign in as you. Tell us immediately if you suspect a compromise.
The first user in a workspace is the Owner. Owners can invite additional users with role-based permissions. The Owner is responsible for what every user in their workspace does.
3. What it costs
Pricing for each plan is published at /pricing. Your subscription auto-renews at the end of each billing period until you cancel. Cancellation is from your settings; access continues until the end of the current period.
We collect payment via Razorpay. You authorise us to charge the payment method on file for the subscription you chose plus any add-on overages (e.g. extra project slots beyond the plan limit).
Refunds are case-by-case for genuine product failures. We don't issue refunds for unused time when you cancel — your data stays accessible until period end.
4. Free trial
Every new workspace starts with a 14-day free trial of the Growth tier. No card required upfront. After the trial: pick a plan, or your workspace enters read-only mode until you do.
5. Your data, your responsibility
You own your data. Projects, BOQs, photos, invoices, vendor records, payroll, audit log — all yours. Rebaar holds it on your behalf and acts only on your instructions (you are the data fiduciary, we are the data processor under the DPDP Act 2023).
You can export everything at any time (Settings → Privacy → Export) and request permanent deletion at any time. After deletion we retain only tax-required records (e.g. SaaS invoices we issued you) for the legal retention period (8 years).
You're responsible for the legality and accuracy of what you upload — including making sure you have rights to any third-party content (drawings, photos) you add. If we receive a credible complaint about unlawful content in your workspace, we reserve the right to suspend access until it's resolved.
6. Integrations — bring your own credentials
Rebaar uses the bring-your-own-credentials model across every third-party integration: Razorpay for payment collection, Meta WhatsApp Business Account, Zoho Books / QuickBooks Online, and GST APIs (NIC IRP + e-Way Bill, either direct or via the customer's GSP). Funds and government records live in the customer's own accounts; Rebaar never takes custody.
For GST APIs specifically, customers obtain credentials from NIC (free, at einvoice1.gst.gov.in → API Registration → Direct API Access) or from a GSP their CA has a contract with, and save them in Settings → Integrations → GST. See MSA §4 for the full setup contract.
You're responsible for the credentials you store with us. We encrypt them at rest, but if you lose your account password and recovery codes we cannot recover them on your behalf.
6A. GST e-Invoice and e-Way Bill — customer warranties
By using the GST e-Invoice or e-Way Bill features, the customer warrants that:
- The GSTIN registered in the workspace is owned and lawfully controlled by the customer.
- The customer is authorised to issue tax invoices and consignment notes under that GSTIN.
- The data submitted to the IRP and the NIC portal — invoice values, HSN codes, transporter details — is true, complete, and matches the underlying transaction.
- The customer has configured valid IRP and (where required) e-Way Bill API credentials in Settings → Integrations → GST before relying on Rebaar to generate registered IRNs and EBNs.
Rebaar acts solely as a software intermediary. We do not verify the truth of GST submissions, do not file GST returns on the customer's behalf, and are not the customer's tax agent. The customer indemnifies Rebaar against any penalty, interest, or assessment arising from inaccurate GST data submitted via the Service.
7. Acceptable use
You may not:
- Use Rebaar to send spam, deceptive messages, or content that violates Indian law
- Probe, scan, or attempt to circumvent the security or rate limits of the Service
- Resell, sublicense, or expose Rebaar's functionality to third parties without our written consent
- Use Rebaar to harm other Rebaar customers (e.g. by attempting cross-tenant access)
- Misrepresent your identity to bypass workspace isolation or referral attribution
Violation may result in immediate suspension. We log every administrative action under impersonation and audit suspicious anomalies before acting.

8. Service availability
We aim for 99.9% uptime measured monthly, excluding planned maintenance windows announced at /status. We don't commit to specific availability outside what's in your subscription tier (Scale plans have a written SLA — ask sales).
Maintenance, updates, and short outages happen. We'll do our best to give notice for planned windows. Unplanned outages get an incident page on /status with regular updates.
9. Termination
You can cancel at any time from Settings → Billing. Your workspace becomes read-only at period end. Within 90 days you can resubscribe and pick up where you left off. After 90 days we may permanently delete your workspace; export your data beforehand.
We may terminate or suspend your account for: non-payment after a reasonable grace period, repeated terms-of-service violations, or court order. We will email the Owner before termination except in imminent-harm scenarios.
10. Intellectual property
Rebaar, its source code, design, brand, and trademarks are owned by Rebaar. Your subscription grants you the right to use the Service — it doesn't transfer ownership of any of that to you.
Feedback, bug reports, and feature requests you send us (via the 💬 widget or otherwise) may be incorporated into the product without additional compensation. We won't attribute them publicly without your permission.
11. Disclaimer of warranties
The Service is provided “as is.” To the maximum extent permitted by Indian law, we disclaim all implied warranties of merchantability and fitness for a particular purpose. Specifically:
- GST and tax compliance is your responsibility. Rebaar generates invoices and reports that follow current rules to the best of our ability, but you and your accountant are responsible for verifying every filing.
- Third-party integrations(Razorpay, NIC, Meta, Zoho, QuickBooks) follow their own terms. We're a relay, not a substitute for them.
12. Limitation of liability
To the maximum extent permitted by Indian law, our total liability to you for any claim arising out of your use of the Service is capped at the fees you actually paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages — including lost profits, lost business, or lost data — even if we were advised of the possibility.
This cap does not apply to liability arising from fraud, gross negligence, or any obligation that can't be limited by Indian law.
13. Indemnification
You agree to indemnify and hold Rebaarharmless from claims arising out of your unlawful use of the Service, your breach of these terms, or content in your workspace that infringes a third party's rights.
14. Governing law and jurisdiction
These terms are governed by the laws of India. Any dispute is subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.
15. Changes to these terms
We may update these terms when the product, law, or our processors change. Material changes are announced at least 14 days in advance via the workspace Owner's email. Continued use after the effective date is your acceptance of the updated terms.
