Master Service Agreement

This MSA governs your paid subscription to Rebaar (the “Service”) provided by Rebaar. It is in addition to, not in place of, the Terms of Service and Privacy Policy. By starting a paid plan you accept these commercial terms.

1. The plans we offer

Current plans, the monthly fee, and the included caps are listed below. All amounts are in Indian Rupees (₹). GST is not currently charged on the subscription; once the supplier is registered under GST it will be added to invoices at the applicable statutory rate (currently 18%).

2. Overage — what happens beyond the cap

The monthly caps listed in §1 reset on the first day of each calendar month (UTC). When a workspace exceeds a cap, behaviour depends on the resource:

  • e-Invoice and e-Way Bill:no Rebaar-side cap. The customer's own NIC / GSP account is the metering layer; Rebaar applies only a per-minute rate limit (60 IRN/min, 30 EBN/min per workspace) as DoS protection against runaway scripts. NIC's own direct-API daily limit (currently 1,000 IRN/day per GSTIN) is the effective ceiling for direct-API customers; customers on a GSP contract have whatever quota the GSP provides.
  • WhatsApp / OCR / email: further calls return 402 until the next billing period or an upgrade. No top-up packs for these today.
  • Projects: additional project slots can be purchased at ₹1,500 per slot per month (Starter and Growth only).
  • Storage: uploads are rejected once the cap is reached. Existing files remain accessible.
  • Users: new invites are rejected once the cap is reached.

3. Billing and renewal

Plans are billed monthly or annually in advance via Razorpay. The annual cycle gets a 15% discount versus paying monthly. The subscription auto-renews at the end of each period until the customer cancels.

Cancellation is from Settings → Billing and is effective at the end of the current paid period. The workspace becomes read-only after that; the customer keeps export access for 90 days before permanent deletion (see Terms of Service §9).

Refundsare not issued for unused time on a cancelled subscription. Refunds for documented product failures (extended downtime that materially impaired the customer's use of the Service) are evaluated case by case.

Upgrades are pro-rated for the remainder of the current period. Downgrades take effect at period end; we do not refund the difference.

4. GST e-Invoice and e-Way Bill — customer credentials

For Rebaar to generate IRNs and EBNs under the customer's GSTIN, the customer obtains their own API credentials from NIC (free, at einvoice1.gst.gov.in → API Registration → Direct API Access) or from a GSP their CA has a contract with (Adaequare, ClearTax, Tally, etc.), and saves them in Settings → Integrations → GST. Rebaar stores these credentials encrypted at rest (AES-256-GCM) and uses them only to make API calls on the customer's behalf.

Until credentials are saved, IRN and EBN routes return a locally-computed hash rather than a real NIC-registered identifier. Such invoices are clearly flagged in the UI and must not be treated as GST-compliant. Rebaar is not responsible for any business consequence (rejected B2B invoices, blocked shipments, penalties under GST §129) of a customer issuing invoices without first configuring GST credentials.

5. Suspension for non-payment and abuse

If a charge fails, the subscription enters past-due. The customer has a 7-day grace window where the Service stays fully available; on day 7 the workspace becomes read-only. Hard suspension (no access) follows on day 21 unless payment is resolved.

Rebaar may suspend a workspace without notice for: chargebacks issued for paid invoices, attempts to circumvent rate limits or caps, attempts to access another customer's workspace, generation of fraudulent GST documents, or any activity that materially threatens the integrity of the Service.

6. Customer indemnity

The customer indemnifies Rebaar, its employees, and its officers against:

  • Claims by the customer's buyer or supplier arising from invoices, e-Way Bills, or other documents the customer issued via the Service;
  • GST assessments, interest, or penalty imposed on the customer for inaccurate data submitted via the Service;
  • Claims by employees or contractors of the customer relating to payroll, attendance, or HR records kept in the Service;
  • Any third-party claim arising from the customer's unlawful use of the Service or breach of the Terms of Service.

7. Limitation of liability

To the maximum extent permitted by Indian law, Rebaar's aggregate liability for any claim arising out of this MSA, the Service, or any integration the Service relays through is capped at the fees the customer actually paid Rebaar in the 12 months preceding the claim.

Rebaar is not liable for indirect, incidental, consequential, or punitive damages — including lost profits, lost business, lost data, or downtime of third-party services we relay through (Razorpay, GSP, NIC, Meta, Anthropic, Resend, AWS) — even if Rebaar was advised of the possibility.

This cap does not apply to liability that cannot be limited under Indian law (e.g. fraud, gross negligence, or wilful misconduct).

8. Service availability and credits

Rebaar targets 99.9% monthly uptime measured by external probes, excluding planned maintenance windows announced at /status with at least 24 hours notice. Scale plans may negotiate a written SLA with service credits; Starter and Growth do not include service credits as a matter of right.

9. Data security and processing

Customer data is encrypted in transit (TLS 1.2+) and at rest. Workspace isolation is enforced at the database query layer — every read/write is scoped to the workspace ID derived from the authenticated session. Sensitive credentials (Razorpay keys, GSP credentials, SSO secrets) are stored with AES-256-GCM envelope encryption.

Data residency: today all customer data is stored in AWS / DigitalOcean Mumbai (ap-south-1). The customer may indicate a future preferred region in Settings → Workspace; routing to alternate regions is not yet available.

10. Modifications to this MSA

We may update this MSA when plan inclusions, prices, or commercial terms change. Material changes are announced at least 14 days in advance to the workspace Owner via email. If a customer does not agree, they may cancel before the effective date and receive a pro-rated refund of any unused paid period. Continued use after the effective date is acceptance.

11. Governing law

This MSA is governed by the laws of India. Disputes are subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka.
